Resumen
CarGurus runs an online automotive marketplace where consumers search new and used car listings and dealers advertise their inventory. Its signature feature is a proprietary Instant Market Value price algorithm that labels each listing with a deal rating, which is what originally drew shoppers to the site. Alongside the consumer marketplace it sells software and services to dealers — pricing tools such as PriceVantage, lead-scoring, dealer dashboards and online-to-offline transaction tools like Digital Deal — plus a Sell My Car offering that routes consumers who want to sell into dealer hands. The company operates in the United States, the United Kingdom and Canada. In 2025 it exited its wholesale ambitions: on 6 August 2025 the board decided to wind down CarOffer, LLC, including the Dealer-to-Dealer and Instant Max Cash Offer products, concluding that the model was less effective in a volatile pricing environment; the wind-down was complete by 31 December 2025 and CarOffer is reported as a discontinued operation. From the fourth quarter of 2025 CarGurus reports as a single reportable segment. Revenue from continuing operations was $907.0 million in 2025 against $798.0 million in 2024, of which $827.3 million came from the United States and $79.7 million from international markets. It ended 2025 with 26,049 paying dealers in the US and 8,360 internationally.
Cómo genera ingresos
Most of the money comes from recurring monthly subscriptions paid by dealers for listing packages — Enhanced, Featured+ and Featured Priority+ — priced according to the dealer's inventory size and geography, on top of which dealers buy à la carte add-ons such as Highlight, Audience Targeting, New Car Exposure and Geo Expansion. A second stream is advertising sold to car manufacturers and brand advertisers, in formats such as brand reinforcement, category sponsorship and segment exclusivity. A third, smaller stream comes from partnerships with auto lenders, where CarGurus is paid on the number of loans actually funded after a consumer pre-qualifies on the site. The economics are therefore those of a subscription advertising business, not a transaction business: CarGurus does not take title to cars and, after the CarOffer wind-down, no longer earns anything per vehicle sold. Growth comes from adding paying dealers and from selling each existing dealer a richer package — what management calls expanding wallet share.
Ventaja competitiva
Efectos de red · EstrechaCarGurus is a two-sided marketplace: the more dealers list inventory, the more useful the site is to shoppers, and the more shoppers arrive, the more a dealer must be present. That loop is real and is reinforced by the Instant Market Value pricing data the company accumulates from years of listings, which is hard for a newcomer to replicate. But the advantage is bounded rather than wide. Dealers routinely subscribe to several marketplaces at once, so being present on CarGurus rarely means being absent elsewhere, and subscription contracts can be cancelled. The company itself discloses that it depends in part on internet search engines to bring consumers to its sites, which means a meaningful share of the demand side is rented rather than owned.
Qué impulsa la demanda
Moderadamente cíclicoDemand is driven by how much dealers are willing to spend to move inventory, which in turn follows used-car volumes, vehicle affordability, interest rates and manufacturers' marketing budgets. The subscription model dampens the swings — a dealer paying monthly does not cut the line item the moment a quarter turns weak, and the platform kept growing revenue at a double-digit rate in both 2024 and 2025 — but it does not remove them: when dealer margins compress, packages get downgraded and add-ons get cut. The company itself says its operating results have been more influenced by macroeconomic conditions than by consistent seasonal patterns, while noting the usual spring and summer lift tied to tax refund season and higher discretionary spending, and that it may become more susceptible to seasonality as it scales.
Riesgos clave
- Dependence on dealer relationships and subscription renewals — The company states that its business is substantially dependent on its relationships with dealers and that it must maintain or increase the number of dealers paying subscription fees. Dealer agreements can be terminated, and dealer consolidation reduces the number of separate paying customers.
- Reliance on internet search engines for traffic — CarGurus discloses that it relies in part on internet search engines to drive traffic to its websites. Changes in ranking algorithms or in how search results are presented are outside the company's control and can affect the flow of consumers to the marketplace.
- Exposure to the wider automotive ecosystem and macroeconomic conditions — The filing lists risks tied to the larger automotive industry ecosystem and states that future revenue is uncertain, including because of potential macroeconomic effects. Inflation, interest rates and vehicle supply all feed through to dealer advertising budgets.
- Disputes over the accuracy of pricing and valuation products — The company flags that it may be subject to disputes regarding the accuracy of its pricing and valuation products. Deal ratings and Instant Market Value are central to the consumer proposition, so challenges to them go to the heart of the product.
- Data privacy, cybersecurity and service disruption — The filing discloses risks from the collection, processing, storage and sharing of personal data by the company and its third-party service providers, and separately warns that a significant disruption in service on its websites or mobile applications could harm the business.
- Competitive market — Among its general risk factors the company states that it participates in a competitive market and faces pressure from existing and new companies. Rival marketplaces, dealer software vendors and manufacturers' own channels all compete for the same dealer spend.
- Founder control of voting power — The company discloses that its founder controls a majority of the voting power of its outstanding capital stock, through a dual-class structure. Holders of Class A common stock therefore have limited influence over matters submitted to a shareholder vote.
- Failure to develop new products or adapt to new technologies — The filing warns that any inability to develop new products or adapt to new technologies could harm the business. This is stated as a company risk factor and is relevant to a marketplace whose discovery layer is being reshaped by AI-based search and assistants.
Concentración de clientes
The filing does not disclose a figure for the share of revenue taken by the largest customers, and identifies no single customer as a material concentration. The structural picture is one of dispersion: revenue comes from 34,409 paying dealers at the end of 2025 — 26,049 in the United States and 8,360 internationally — each on its own subscription, so no individual dealer is large in relation to the group. The offsetting exposure is not to one customer but to the category: the company states that its business is substantially dependent on dealer relationships as a whole, and the advertising stream concentrates on a small number of car manufacturers.
Los argumentos a favor
Buyers argue that CarGurus has turned back into a clean, cash-generative advertising business after amputating the part that was destroying value. Revenue from continuing operations grew 14% in both 2024 and 2025, reaching $907.0 million, while net income from continuing operations rose 53% to $196.7 million in 2025 — growth and expanding profitability at the same time. They point to the subscription base of 34,409 paying dealers, growing 7% year on year and 14% internationally, as a recurring foundation, and to the widening product set — pricing software, lead scoring, dealer dashboards, online deal tools — as a way to charge each existing dealer more without acquiring anyone new, which is management's stated growth engine. The closure of CarOffer, on this reading, removes the inventory risk and the volatility that a wholesale transaction business carried, leaving a lighter model that does not take title to cars.
Los argumentos en contra
Sellers fear that the wind-down of CarOffer is evidence rather than remedy: the company spent years and considerable capital building a wholesale business and concluded in August 2025 that it was less effective in a volatile pricing environment, which raises the question of whether the remaining business can expand beyond listings at all. They point to the disclosed dependence on internet search engines for traffic — a demand channel the company rents and does not own, at a moment when AI-driven search is reshaping how car shoppers begin their research — and to the fact that dealers subscribe to several competing marketplaces at once, so pricing power is limited and packages can be downgraded whenever dealer margins compress. They also note the concentration of revenue in the United States, $827.3 million of $907.0 million in 2025, leaving international at a scale too small to offset a domestic slowdown, and the dual-class structure under which the founder controls a majority of the voting power, limiting what outside holders of Class A stock can do about any of it.
