Visão Geral
Chewy is a United States online retailer of pet food, pet supplies, pet medications and pet health services, selling through chewy.com and its mobile app to roughly 21.3 million active customers in the US and Canada. The 10-K for the fiscal year ended 1 February 2026 describes an assortment of about 190,000 items from around 4,000 brands, plus Chewy's own private labels (Frisco, American Journey, Tylee's, Vibeful, Get Real). Chewy operates its own fulfilment-centre network, positioned so that most of the US population can be reached overnight, and has extended beyond boxes of kibble into a licensed pharmacy, telehealth ('Connect with a Vet'), insurance and wellness plans (CarePlus) and 18 Chewy Vet Care clinics. Net sales were $12.60 billion in fiscal 2025, up 6.2% on the prior year.
Como gera receita
Almost all revenue comes from selling physical goods online: the customer pays at checkout, revenue is recognised when the order ships from a Chewy fulfilment centre and is delivered, and shipping fees charged to the customer are part of net sales. The engine underneath is Autoship, a subscription that re-orders consumables on a fixed schedule at a small discount: Autoship customer sales were $10.50 billion in fiscal 2025, or 83.3% of net sales. Smaller and newer streams — prescription pharmacy, veterinary clinics, insurance and wellness plans, and an advertising business that sells placement on Chewy's site to its own vendor partners — sit on top of the same customer base. This is a thin-margin, high-volume model: gross margin was 29.8% in fiscal 2025 and net income $222.8 million on $12.60 billion of sales, so profit depends on order density and logistics efficiency rather than on price.
Vantagem competitiva
Custos de mudança · EstreitaChewy's advantage is habit rather than exclusivity. Once a pet parent has set up Autoship — with the pet's profile, the brand and bag size it tolerates, a delivery cadence and often a repeat prescription on file — reordering elsewhere means rebuilding all of that for a product that is identical wherever it is bought. The result is visible in the numbers: 83.3% of fiscal 2025 net sales came through Autoship, and the customer base grew 4.0% to 21.3 million. That is a real but modest barrier. Nothing stops Amazon, Walmart or a big-box chain from stocking the same brands at the same price, the 10-K's own risk factors describe the pet category as intensely competitive, and Chewy's scale in fulfilment is large in pet supplies but small next to the general-merchandise networks it competes with. Hence narrow, not wide.
O que impulsiona a procura
Moderadamente cíclicoDemand is anchored by a biological fact: a dog eats the same amount whether the economy is expanding or contracting, and medication for a chronic condition is not postponed. That is why consumables and pharmacy give Chewy a steady base and why 83.3% of fiscal 2025 sales arrived on a subscription schedule. The cyclical part sits around the edges. Hardgoods — beds, crates, toys, tech — are deferrable, and the flow of new pets is itself cyclical: adoptions surged during the pandemic and slowed afterwards, and each new pet is what starts a multi-year stream of food orders. So the installed base is defensive, while growth in the installed base is not. In a downturn Chewy tends to keep its revenue and lose its growth rate, and shoppers trade down to cheaper brands, which affects the mix as well as the volume.
Principais riscos
- Growth may not continue at historical rates — The company states that its recent growth rate may not be sustainable and that it may fail to acquire new customers or retain existing ones at an acceptable cost. With growth of 6.2% in fiscal 2025 the business already depends more on spending per existing customer than on new customers, and the filing warns that the addressable market it estimates may itself be wrong.
- Dependence on a few large suppliers — Chewy buys from hundreds of vendors but discloses that products from its three largest vendors accounted for approximately 39% of net sales in fiscal 2025 — the same share as in each of the two preceding years. The risk factors note that Chewy has no long-term guarantee of supply and that losing a major brand, or losing favourable terms on it, would be difficult to replace with an equivalent product.
- Shipping and fulfilment — The filing lists disruptions to shipping arrangements, rising carrier costs and the difficulty of sizing and optimising the fulfilment-centre network among its principal risks. Pet food is heavy and low-value per kilo, so freight is a structural cost rather than a line item that can be squeezed away.
- Intense competition in the pet category — Under 'Risks Related to Our Industry' the company describes the pet products market as highly competitive, against general online retailers, mass merchants, grocery chains and specialty pet stores, several of which are considerably larger and can sustain lower prices.
- Regulation of the pet health and pharmacy business — Selling prescription medication and operating veterinary services brings state pharmacy licensing rules, the need for valid veterinarian authorisation on each prescription, and regulation of pet insurance. The company flags compliance cost and the risk of falling foul of these rules as a specific risk factor.
- Cybersecurity and personal data — Chewy holds payment details, purchase histories and — through the pharmacy — health records for millions of customers, and depends on third-party SaaS platforms and network infrastructure. Breaches, outages at those providers and tightening privacy and marketing regulation are all disclosed risks.
- Controlled company and share overhang — The company reports risks tied to its controlling stockholders: a dual-class structure, 'controlled company' status with the reduced governance requirements that follow, potential conflicts of interest, and the prospect of substantial future sales of stock by BC Partners affiliates.
- Economic conditions and consumer spending — The filing cites uncertain economic and market conditions among its risks, along with merchandise returns and refunds. Food and medication are largely non-discretionary, but beds, toys and other hardgoods are not, and pet adoption itself slows when households feel poorer.
Concentração de clientes
There is no customer concentration to speak of, and the 10-K discloses none: Chewy sells to 21.3 million active customers, each spending a few hundred dollars a year, so no single buyer is material. The concentration in this business runs the other way, on the supply side — products from the three largest vendors accounted for approximately 39% of net sales in fiscal 2025. A beginner should read the risk as leverage held by a handful of pet-food brands over Chewy's shelf, not as dependence on a few big accounts.
Os argumentos a favor
Buyers argue that Chewy has quietly become a subscription business wearing a retailer's clothes: 83.3% of fiscal 2025 sales came through Autoship, revenue that repeats without being re-won each quarter, and the active customer base still grew 4.0% to 21.3 million. They point to gross margin rising to 29.8% and to the newer, higher-margin layers — pharmacy, the advertising business sold to Chewy's own vendors, insurance and the vet clinics — as evidence that the same customer can be worth more each year without much extra freight. They also note that the category is among the more resistant to recession, since pet food and medication are bought regardless, and that after years of building fulfilment capacity the heaviest infrastructure spending is behind the company.
Os argumentos contra
Sellers fear that this is a heavy, low-margin logistics operation selling commodities it does not control. Net sales grew 6.2% in fiscal 2025 while net income fell to $222.8 million from $392.7 million — the prior year having been flattered by a one-off tax benefit — and share-based compensation and related taxes of $311.2 million exceeded net income, which they read as real cost paid in shares rather than cash. Roughly 39% of what Chewy sells comes from three vendors who could change terms or sell directly. The goods themselves are identical to what Amazon, Walmart and the big-box chains ship, and those rivals can absorb thinner margins on pet food to defend a wider basket. Finally, the growth in active customers is slower than it was, so more of the story now rests on persuading existing households to spend more on services Chewy is still building out, and on the dual-class structure and BC Partners' remaining stake staying quiet.

Amazon is the other half of the US online pet-supply duopoly, selling the same food, litter and accessories to the same households and using Subscribe & Save against Chewy's Autoship, while Amazon Pharmacy now pushes into pet prescriptions too.
Walmart sells pet food and supplies at scale in its supercenters and on walmart.com, and is one of the destinations Chewy's departing customers name most often when they leave over price.
Tractor Supply's farm-and-feed stores and website make pet and animal food their single biggest category, competing for the bulk-buying pet owner in rural and suburban America that Chewy serves by parcel.
Petco chases the same pet parents with petco.com, its own delivery and subscription programme and in-store veterinary clinics, overlapping with Chewy across retail, pharmacy and vet services alike.
PetSmart is the largest US pet-specialty chain and Chewy's former parent, competing for the same recurring food and supplies spend through its stores and its own e-commerce and autoship offering.
PetMed Express is a pure-play online pet pharmacy selling the same prescription medicines, parasite preventives and supplements that Chewy Pharmacy ships to the same households.
