Übersicht
BOK Financial Corporation is a regional bank holding company based in Tulsa, Oklahoma, operating through its subsidiary BOKF, NA and its brands (Bank of Oklahoma, Bank of Texas, Bank of Albuquerque and others). It serves customers across Oklahoma, Texas, New Mexico, Arkansas, Colorado, Arizona, Kansas and Missouri, and describes itself as holding roughly 14% of Oklahoma's total deposits. Alongside ordinary commercial and retail banking it runs two businesses that are unusually large for a bank of its size: a mortgage origination and servicing operation, and a Wealth Management arm that trades U.S. government agency mortgage-backed securities, underwrites municipal bonds and manages money for institutions and private clients. In fiscal 2025 the group produced about $2.18 billion of total revenue and $578 million of net income.
Wie das Geld verdient wird
Like any bank, BOK Financial earns most of its money on the spread between what it pays for deposits and borrowings and what it earns on loans and securities: net interest revenue was about $1.33 billion in fiscal 2025, roughly 61% of total revenue. The remaining 39% — about $848 million — is fee and commission income, which is a larger share than at most regional banks of comparable size. That fee stream comes from fiduciary and asset management fees, brokerage and trading (chiefly market-making in agency mortgage-backed securities), mortgage banking and servicing, transaction card processing and deposit service charges. The practical consequence is that a slice of revenue is tied to market activity and asset values rather than to the loan book.
Umsatz nach Segment
Lending, treasury and cash management services and customer risk management products for small businesses, middle-market companies and larger corporate borrowers, including the group's energy, healthcare and commercial real estate lending. It is the largest source of both revenue and pre-tax profit.
Fiduciary services, private banking and investment advisory for institutions and wealthy individuals, together with brokerage and trading — principally providing liquidity to the mortgage market by trading U.S. government agency mortgage-backed securities and related derivatives — and underwriting of state and municipal securities.
Retail lending and deposit services, plus lending and deposits for small businesses served through the branch network, and all mortgage loan origination and servicing activity. Its customers are households and very small firms.
Not a customer-facing business: it is the central treasury unit that holds the securities portfolio, manages the group's interest rate and liquidity position and absorbs the funding and capital charges allocated to the three operating segments. Its revenue swings sharply with interest rates — it went from $21 million in 2024 to $207 million in 2025 — and it reported a pre-tax loss in each of the last three years.
Wettbewerbsvorteil
Wechselkosten · SchmalBOK Financial's advantage is real but limited. Its deposit base is concentrated in markets where it is a leading rather than a marginal player — the company reports holding around 14% of all deposits in Oklahoma — and commercial operating accounts, treasury management mandates and trust relationships are genuinely awkward to move once payroll, payments and custody run through them. Decades of energy lending also give it underwriting knowledge that a newcomer cannot buy quickly. None of this stops a competitor from bidding for a specific loan or a specific deposit: banking is a commodity business at the margin, BOKF is far smaller than the national banks it meets in Texas and Colorado, and the company itself lists substantial competition from both regulated and unregulated rivals as a risk factor.
Was die Nachfrage antreibt
ZyklischDemand for BOK Financial's products tracks the credit cycle and, on top of that, the energy cycle. Loan growth, credit losses and the willingness of businesses to borrow all follow regional activity in Texas, Oklahoma and Colorado, where oil and gas prices drive employment, property values and commercial spending well beyond the energy companies themselves. A second cycle runs through the mortgage and trading businesses: when rates fall, origination volumes and agency mortgage-backed securities trading pick up while the value of servicing rights drops; when rates rise, the reverse happens. The one stabilising element is the net interest margin, which widened in fiscal 2025 as funding shifted from wholesale borrowings to interest-bearing deposits, but even that depends on where policy rates sit and on how hard depositors push for higher returns.
Wichtigste Risiken
- Concentration in a few regional economies — The company discloses that adverse regional economic developments could hurt its business, because its loan portfolio is concentrated in Texas, Oklahoma and Colorado rather than spread nationally. A downturn confined to those states would still hit BOK Financial fully.
- Extended weakness in oil and gas prices — BOK Financial lists prolonged declines in oil and gas commodity prices as a risk, since a meaningful part of its lending goes to energy borrowers and a further part of its regional economy depends on them indirectly. The risk is not only direct loan losses but weaker demand across the whole local economy.
- Interest rate and mortgage rate movements — The filing flags both general interest rate fluctuations and, separately, changes in mortgage rates, which affect origination volumes, the value of mortgage servicing rights and the residential mortgage-backed securities held and traded. It also warns that the models used to value these positions may fail to predict changes in value.
- Loss of deposits or a shift in deposit mix — The company states that losing deposits, or seeing customers move from cheap accounts to costlier ones, would raise its funding costs. It adds that it relies on the Federal Home Loan Bank of Topeka and other institutions for funding, so a market disruption could tighten those sources, and that a credit rating downgrade would make funding more expensive.
- Technology dependence, cyber risk and fraud — Among the disclosed risks are cybersecurity and data privacy breaches, technology failures, reliance on third parties for critical components of its infrastructure, the unforeseen consequences of adopting emerging technologies such as artificial intelligence, and direct losses from fraud or theft.
- A controlling shareholder and thin trading in the stock — The company discloses that its principal shareholder controls a majority of the common stock, that possible future sales by that shareholder could weigh on the share price, and that although the stock is publicly traded it has substantially less liquidity than comparable listed companies. Minority holders therefore have limited influence over governance.
- Regulatory limits on dividends from the bank — Statutory restrictions on dividends and other distributions from the subsidiary bank constrain the cash that can reach the holding company, which is what pays shareholder dividends and services holding-company obligations.
Kundenkonzentration
The 10-K states explicitly that no single external customer accounted for more than 10% of total revenue in fiscal 2025, 2024 or 2023. The filing does not publish a combined share for the largest customers, so no number can be given. The concentration worth watching at BOK Financial is not one customer but one industry and one region: the company's own risk factors point to energy borrowers and to the Texas, Oklahoma and Colorado economies.
Die Argumente dafür
Buyers argue that BOK Financial is a bank with an unusually diversified income statement: about 39% of fiscal 2025 revenue came from fees — fiduciary and asset management, trading, mortgage servicing, payments — which cushions the part of earnings that depends purely on the spread between deposits and loans. They point to the margin expansion achieved in fiscal 2025, from 2.65% to 2.87%, obtained by replacing wholesale borrowings with interest-bearing deposits, and to net income rising to $578 million from $524 million. They add that the group is a leading deposit-taker in Oklahoma rather than a price-taking marginal competitor, that its long history in energy lending is knowledge rivals lack, and that the controlling shareholder has kept the bank conservatively run through several energy cycles.
Die Argumente dagegen
Sellers fear that the diversification is thinner than it looks. The Wealth Management fee stream leans heavily on trading agency mortgage-backed securities and on mortgage servicing, both of which move with interest rates rather than independently of them, and Commercial segment revenue fell from $1.04 billion in fiscal 2024 to $983 million in fiscal 2025 while Consumer pre-tax income dropped from $112 million to $76 million. The loan book sits in three states whose economies rise and fall with oil and gas, so a long commodity downturn would show up in credit losses and in loan demand at the same time. They also note the funding side: the company itself warns that losing deposits or a shift in deposit mix would raise costs, and that it depends on the Federal Home Loan Bank of Topeka. Finally, governance is not neutral — a principal shareholder controls the majority of the stock, the shares trade with substantially less liquidity than comparable listed banks, and minority holders have little say if interests diverge.
