Partie 1 · Ce que vaut l'entreprise
Vue d'ensemble
Broadridge Financial Solutions is a US financial-technology company that runs back-office plumbing for the investing industry. Its best-known business is investor communications: when a listed company has to send a proxy statement, an annual report or a regulatory document to shareholders who hold their shares through a broker, Broadridge is usually the intermediary that collects the positions, distributes the material and tabulates the votes. Alongside that, it sells technology and outsourced operations to banks, broker-dealers, asset managers and wealth managers — trade processing, post-trade settlement, wealth-management platforms. Its fiscal year ends on 30 June; fiscal 2025 revenues were $6,889.1 million.
Comment l'entreprise gagne de l'argent
Most of the money is recurring fee revenue: multi-year contracts under which clients pay per account, per position or per seat for services delivered on shared platforms. Fiscal 2025 recurring revenues were $4,507.9 million. On top of that sit two more variable streams. Event-driven revenues ($319.3 million in fiscal 2025) come from one-off corporate actions — contested proxy fights, mutual-fund proxies, mergers — whose volume the company does not control. Distribution revenues ($2,062.0 million) are essentially pass-through printing and postage billed on to clients; they inflate the top line but carry very low margin, which is why management reports recurring revenue separately.
Chiffre d'affaires par segment
Proxy processing, regulatory and shareholder communications, data-driven fund solutions, corporate issuer services and customer communications, sold to banks, broker-dealers, mutual funds and listed companies. Fiscal 2025 revenues were $5,113.0 million, and this segment also contains almost all of the low-margin distribution revenue.
Capital markets solutions (order management, trade processing, post-trade settlement) and wealth and investment management platforms, sold mainly to broker-dealers, banks and wealth managers as technology plus outsourced operations. Fiscal 2025 revenues were $1,776.1 million, all of it recurring.
Avantage concurrentiel
Coûts de changement · LargeBroadridge sits in the middle of a process that regulation requires to happen: shareholder communications for beneficial owners must be delivered, and Broadridge has aggregated that flow across the brokerage industry onto one set of platforms. A client leaving would have to move regulated recordkeeping, voting and settlement processes that cannot be interrupted, and would lose the cost advantage of a shared utility — which is why contracts are multi-year and the installed base turns over slowly. The GTO side adds the same stickiness in a different form: trade-processing and wealth platforms are wired into a bank's operations and are expensive and risky to replace.
Ce qui stimule la demande
Modérément cycliqueThe core of the business is regulation-driven and largely insensitive to the economic cycle: shareholders must be communicated with and votes must be counted in good years and bad, and the fees are tied to the number of accounts and positions, which grows slowly and steadily. What moves with the cycle is the thinner, more visible layer on top — event-driven work such as contested votes, fund proxies and merger-related mailings, and the capital-markets volumes and technology budgets of banks and broker-dealers, which shrink when markets go quiet and when clients cut spending. So revenue does not collapse in a downturn, but growth decelerates and the swing items disappear.
Principaux risques
- Dependence on a relatively small number of clients — Broadridge states that it relies on a relatively small number of clients, on their continued financial health, and on their continuing to use its services on favourable pricing terms. Consolidation or distress among large broker-dealers and banks therefore hits it directly.
- Changes in laws and regulations — Much of the demand for investor communications exists because regulation mandates it. The company flags that changes in the laws and regulations affecting its clients or the services it provides could reduce or reshape that demand.
- Security breach or cyberattack — The company handles confidential client and investor information, and discloses that a material security breach or cybersecurity attack affecting that information is a risk to its business and reputation.
- Declines in securities market activity — Broadridge cites declines in participation and activity in the securities markets as a risk: fewer positions, fewer trades and fewer corporate events mean fewer billable units, particularly on the event-driven and capital-markets side.
- System failure or reliance on key service providers — The company discloses the risk of a disaster or other significant slowdown or failure of its systems, and separately the risk that key service providers fail to deliver the anticipated levels of service.
- Failure to keep pace with technology — Broadridge flags the risk of failing to keep pace with changes in technology and with the demands of its clients, which would expose its platforms to competitors and to clients deciding to build in-house.
- Acquisitions and integration — The company discloses risks tied to acquisitions and divestitures, including the integration of acquired businesses and the failure to realise expected benefits.
Concentration des clients
Broadridge does not quantify its client concentration in the fiscal 2025 filing — there is no stated share of revenue for the largest client or the top ten. It does, however, name the concentration itself as a risk, describing its reliance on a relatively small number of clients and on their continued financial health and willingness to keep buying on favourable pricing terms. In practical terms the client base is the large US and international broker-dealers, banks and asset managers, a short list by construction.
Les arguments en faveur
Buyers argue that Broadridge is a regulated utility disguised as a software company: the bulk of its revenue is recurring and contracted, it grew again in fiscal 2025 with recurring revenues of $4,507.9 million and total revenues of $6,889.1 million, and the work it does — shareholder communications, trade processing, wealth platforms — is mandatory for its clients rather than discretionary. They point to the difficulty of replacing it, to a client base that renews rather than shops around, to the steady drift upward in the number of accounts and positions it bills on, and to the way the GTO segment lets it sell more technology into banks that would rather outsource than build. They also note that a large slice of reported revenue is low-margin pass-through postage, so the underlying profitability of the real business is better than the headline suggests.
Les arguments contre
Sellers fear that the same regulation that created the business could rewrite it: the rules governing how shareholder material must be delivered, and the fee schedules attached to them, are set by others and have been revisited before. They worry about the client list — the company itself says it depends on a relatively small number of clients — so a merger between two large broker-dealers removes a payer and hands the survivor pricing leverage. They also point to the mix: a meaningful part of the top line is printing and postage that is shrinking as communications go digital, event-driven revenue is volatile and outside the company's control, and GTO growth has leaned on acquisitions that carry integration risk. Finally they note the structural threat the company itself flags — failing to keep pace with technology, with clients or competitors eventually doing this work on newer infrastructure.
