Partie 1 · Ce que vaut l'entreprise

Vue d'ensemble

Exponent is a science and engineering consulting firm that is hired to figure out why something failed, or to check whether a product, plant or chemical is safe before it is released. Its staff of more than 90 technical disciplines works across 17 practices, from biomechanics and civil engineering to vehicle engineering, data sciences, chemical regulation and health sciences. As of January 2, 2026 it employed 1,212 people, including 949 engineering and scientific staff, of whom 922 hold advanced degrees and 731 a doctorate. The work splits between reactive assignments — accident and product-failure investigations, often tied to litigation, insurance claims or regulatory proceedings — and proactive assignments, where clients bring Exponent in during design, testing or regulatory approval. There is no factory and no product: the asset being sold is the credibility of the people who sign the report and, when needed, testify.

Comment l'entreprise gagne de l'argent

Exponent sells the hours of its consultants. Engagements are performed mainly on a time-and-materials basis, billing hourly rates for each staff member according to skills and experience, with standard professional rates ranging from $225 to $1,375 per hour; some work is done on a fixed-price basis. Engagement agreements typically provide for monthly billing with payment due within 30 days. The company reports two revenue lines: total revenues and 'revenues before reimbursements', which strips out pass-through costs rebilled to clients; in fiscal 2025 total revenues were $582.0 million and revenues before reimbursements $536.8 million. Growth therefore comes from three levers only: headcount, utilisation of that headcount, and billing rates.

Chiffre d'affaires par segment

Engineering and Other Scientific84%

The larger segment, covering the engineering practices — biomechanics, civil and structural engineering, vehicle engineering, materials, electrical and data sciences among them. It serves manufacturers, utilities, insurers and law firms that need a technical explanation of a failure, an accident or a design question. Share is of revenues before reimbursements for fiscal 2025.

Environmental and Health16%

Consulting on environmental hazards, chemical regulation, ecological and earth sciences, epidemiology and health risk — assessing the effect of substances and sites on human health and the environment. Clients are chemical and life-science companies, industrial operators and their counsel. Share is of revenues before reimbursements for fiscal 2025.

Avantage concurrentiel

Brevets et licences · Étroit

What Exponent sells cannot easily be copied or bought: a bench of 949 technical staff, 731 of them with doctorates, whose conclusions have to withstand cross-examination in court and scrutiny by regulators. The company itself states that its business is dependent on its professional reputation and that damage to that reputation would materially affect results. Independence adds a second layer: because Exponent takes no positions and does not design what it later judges, clients in adversarial proceedings can use its work — and the company notes it must sometimes decline engagements to avoid conflicts of interest. This is a reputation-and-people advantage, not a structural one: the staff can be hired away, there are no long-term contracts, and nothing stops a rival firm of experts from competing for the same case.

Ce qui stimule la demande

Modérément cyclique

Demand has two halves that do not move together. The reactive half — accident investigations, product failures, disputes and insurance claims — is triggered by events rather than by the economy, and can hold up or even rise when conditions worsen, which is why the company describes performance as uneven rather than simply cyclical. The proactive half, where Exponent is hired during design, testing and regulatory approval, tracks clients' R&D and capital budgets and is cut when those budgets are cut. Fiscal 2025 shows the two segments diverging: engineering and other scientific revenues before reimbursements grew 4% while environmental and health was approximately flat. Exposure is spread across industries: in 2025 approximately 21%, 20%, 16% and 11% of revenues came from clients in consumer products, energy and utilities, transportation and chemicals respectively. There is no backlog to smooth the year — the work is billed by the hour as it happens.

Principaux risques

  • The business is reactive and hard to predict — Exponent states that the unpredictable and reactive nature of its business can create uneven performance in any given quarter or year: much of the work follows accidents, failures and disputes that cannot be scheduled, so revenue does not arrive smoothly.
  • Losing a large client — The company lists the loss of a large client as a risk that could have a material adverse effect on its business, financial condition or results of operations. It also flags that clients may terminate, cancel, modify or curtail contracts, and that clients may be unable to pay for services rendered.
  • Everything depends on attracting and keeping the experts — Exponent identifies failure to attract and retain key employees as a risk factor. With no product and no plant, the consultants are the asset, and a business that grows by adding billable hours cannot grow if it cannot recruit.
  • Artificial intelligence, on both sides — The filing carries two distinct AI risk factors: that AI technologies may reduce demand for the company's services, and that Exponent's own adoption and use of AI technologies carries risks.
  • Regulation and tort reform move demand — The company states that its business can be adversely impacted by regulatory uncertainty and that tort reform can reduce demand for its services — a change in liability law directly shrinks the pool of disputes that generate work.
  • Conflicts of interest force work to be turned down — Exponent notes that potential conflicts of interest may preclude it from accepting engagements — the independence that makes the work credible also means revenue is deliberately refused.
  • Professional liability and litigation — The company discloses that its engagements may result in professional or other liability and that it is subject to unpredictable risks of litigation, as well as risks from employee or contractor misconduct.
  • Information systems, security breaches and data protection — Exponent states that it is subject to security breaches, that laws on data protection continue to evolve rapidly, and that its business depends on its ability to use and access its information systems — it holds confidential client material central to disputes.
  • Government contracts and international operations — The filing flags inherent risks related to government contracts, special risks created by international operations, and the risk of failing to comply with domestic and international export laws.

Concentration des clients

The filing does not disclose the share of revenues taken by the largest client or by the top clients as a group, and there is no statement that no single client exceeded a given threshold. What it does give is industry concentration: in 2025 approximately 21% of revenues came from consumer products clients, 20% from energy and utilities, 16% from transportation and 11% from chemicals. The company does list the loss of a large client among its risk factors, which indicates individual clients matter, but it puts no number on it. Treat the concentration as undisclosed rather than as low.

Les arguments en faveur

Buyers argue that Exponent sells something a competitor cannot simply undercut: 949 technical staff, 731 of them holding doctorates, whose analysis has to survive a courtroom and a regulator. That reputation supports standard rates of up to $1,375 an hour and, buyers argue, room to raise them. They point to a business with no factory, no inventory and no long-term contracts to honour, so cash converts quickly and the balance sheet carries little operational weight. They note the work arrives from both directions — failures and disputes when things go wrong, design and regulatory support when clients invest — across consumer products, energy and utilities, transportation and chemicals, so no single end market dictates the year. Fiscal 2025 revenues grew 4.2% to $582.0 million, with the engineering segment up 4% before reimbursements. Buyers also argue that new technologies, including AI systems themselves, create new categories of failure that someone independent will have to examine.

Les arguments contre

Sellers fear a business that can only grow by hiring: revenue is headcount times utilisation times rate, and the company itself lists failure to attract and retain key employees among its risks. They point to fiscal 2025 growth of 4.2% in total revenues and 3.5% before reimbursements, with the environmental and health segment approximately flat, as evidence the machine is running near its limit. They take seriously Exponent's own statement that AI technologies may reduce demand for its services, since a meaningful part of the work is analysis and document-heavy investigation. They note the company's warning that tort reform can reduce demand and that regulatory uncertainty can hurt it — the pipeline depends on rules the company does not control. They also fear the timing risk the filing concedes outright: the reactive, unpredictable nature of the work makes quarters uneven, there is no backlog, and conflicts of interest force paying engagements to be refused. Finally, the filing discloses no client-concentration figure, so sellers argue the exposure to any one large client cannot be checked from the outside.
