Partie 1 · Ce que vaut l'entreprise

Vue d'ensemble

GoDaddy sells the tools a very small business needs to exist online: a domain name, a website, an email address, and a way to take payments. It is the largest domain registrar in the world, with roughly 81 million domains under management at the end of 2025 — about a fifth of all registered domains — and it served about 20.4 million customers, a third of its revenue coming from outside the United States. Its typical customer is not a corporation but a sole trader, a freelancer or a small shop; the company describes its offering as an 'Entrepreneur's Wheel' running from identity (the domain and the brand) to presence (the site and the marketing) to commerce (payments and selling). In 2025 it generated $4,951.1 million of revenue, up 8% on 2024, and $1,127.3 million of operating income. In recent years it has pushed generative AI into the product under the Airo brand, to compress the work of naming, building and promoting a business into a few clicks.

Comment l'entreprise gagne de l'argent

Almost everything is sold as a subscription, paid up front and most often for a year at a time: domain registrations and renewals, hosting, security certificates, website builders, email and productivity seats. Cash is collected when the subscription is bought and the revenue is then recognised over the life of the term, which is why the company also reports 'bookings' — $5.4 billion in 2025, up 7% — alongside revenue. The economics rest on renewal: GoDaddy reported a customer retention rate of about 85% in 2025, and average revenue per user of $242, so growth comes from selling more products to an existing base as much as from new customers. On top of the subscription base sit two transactional lines: the aftermarket, where GoDaddy brokers the resale of already-registered domains and takes a fee, and payment processing, where it takes a cut of the volume its merchants sell.

Chiffre d'affaires par segment

Core Platform61.8%

Domain registrations and renewals, the domain aftermarket, website hosting and security products — the foundation layer sold to everyone from a first-time registrant to professional domain investors and resellers. Revenue grew about 5% in 2025 to $3,062.1 million, driven by domain registrations, add-ons and aftermarket sales.

Applications and Commerce38.2%

The layer built on top of the domain: website builders (Websites + Marketing, Managed WordPress), e-commerce and point-of-sale, digital marketing tools, email and productivity seats resold with Microsoft 365, and GoDaddy Payments. Revenue grew about 14% in 2025 to $1,889.0 million, the faster-growing half of the company.

Avantage concurrentiel

Coûts de changement · Étroit

A domain is the address of a business, and moving it — along with the email boxes, the website and the payment set-up hanging off it — is disruptive out of proportion to the few tens of dollars a year it costs. That friction shows up as a customer retention rate of roughly 85%. Around it sit two reinforcing advantages: a brand that a non-technical small-business owner recognises without research, which lowers the cost of acquiring customers, and scale — roughly 81 million domains under management, about a fifth of the world's registered domains — which spreads infrastructure and registry costs over a very large base. What limits the moat is that the underlying product is close to a commodity: domains can be registered anywhere, hosting is priced aggressively by many rivals, and site builders such as Wix, Squarespace and Shopify compete directly for the same owner.

Ce qui stimule la demande

Modérément cyclique

Two different behaviours sit inside the same company. The installed base is close to defensive: a domain and the email attached to it are among the last things a working business gives up, and the roughly 85% retention rate means most of a year's revenue is already contracted before the year begins. The marginal demand is not defensive at all — new customers arrive with new business formation, and when small-business confidence or credit weakens, sign-ups slow, upgrades stall and the attach of paid extras thins out. The attachment to advertising and commerce volumes adds a further cyclical edge: payment revenue and digital marketing spend track how much the merchants themselves are selling.

Principaux risques

  • The customer is a small business with a thin budget — The filing warns that economic uncertainty and the limited budgets of small and medium-sized businesses could hurt both the acquisition of new customers and the retention of existing ones. GoDaddy's base is made of very small firms, which fail, pause or cut discretionary software spending faster than large enterprises.
  • Intense competition across every product line — The company describes very competitive and rapidly changing markets, with rivals on each layer of the stack: other registrars on domains, hosting providers, website builders and commerce platforms on applications. Competitive pressure can force price concessions or higher marketing spend to hold share.
  • Dependence on third-party infrastructure and system failures — GoDaddy has migrated the bulk of its workloads to public cloud — it reports cutting its managed physical footprint by roughly 81% over four years — and flags reliance on providers such as AWS. An outage, a capacity constraint or a systems failure would interrupt the websites, email and payment flows its customers depend on.
  • Security breaches and the data GoDaddy holds — The filing cites cybersecurity vulnerabilities that could lead to data breaches and business disruption. The company holds registrant identity data, site content and payment credentials for millions of businesses, which makes it a standing target and exposes it to remediation costs, regulatory action and loss of trust.
  • ICANN accreditation and the rules of the domain system — Selling domain names depends on accreditation by ICANN and on the Registrar Accreditation Agreement, whose terms ICANN can change unilaterally or terminate. Policy changes about the domain name system — including how registrant personal data is collected and published in WHOIS directories under privacy law — can disrupt the business or put contractual obligations and data-protection law in conflict.
  • Artificial intelligence: execution and regulation — The company flags both sides of its AI bet: the difficulty of deploying AI and machine learning effectively in its products, and the fact that legal and regulatory frameworks for AI are still evolving, so non-compliance could result in fines. It must also keep adapting to rapid technological change in the same field.
  • International operations and currency — About a third of revenue comes from outside the United States, across more than 200 countries. The filing points to the difficulty of expanding internationally, geopolitical instability and foreign-currency fluctuations, which move reported revenue independently of how the business actually performs.
  • Debt and the financial structure — Among its financial risks the company lists the management of its indebtedness alongside currency exposure and the maintenance of profitability. At 31 December 2025 total debt was $3.8 billion against $1.1 billion of cash, leaving net debt of $2.7 billion, while capital is also being returned through buybacks.

Concentration des clients

The filing discloses no customer concentration and identifies no customer or group of customers accounting for a material share of revenue. The base is about 20.4 million customers, spread across more than 200 countries, at an average revenue per user of $242 — with over 2.0 million of them spending more than $500 a year. Concentration risk here is the opposite of the usual one: no single account matters, but the whole base shares one economic profile, the small business.

Les arguments en faveur

Buyers argue that GoDaddy is the default front door for small businesses going online, and that the default earns its keep: roughly 85% retention, subscriptions paid a year in advance, and $1.6 billion of free cash flow in 2025, up 19%, on $5.0 billion of revenue. They point to the mix shifting towards the faster, higher-margin half of the business — Applications and Commerce grew about 14% in 2025 against about 5% for Core Platform — and to operating income rising 26% to $1.1 billion, well ahead of revenue, as evidence that the model produces operating leverage rather than just growth. They see the AI push under Airo as a way to raise attach rates inside an existing base of 20.4 million customers, which costs far less than buying new ones, and they note that management returns the cash, having repurchased 5.9 million shares for $834.8 million with a further $3.0 billion authorised through 2027.

Les arguments contre

Sellers fear that the engine underneath is slowing: Core Platform, still about 62% of revenue, grew only about 5% in 2025, and domains are a mature, price-transparent market where GoDaddy already holds roughly a fifth of the world's registrations, leaving little room to grow by taking more of it. They worry that growth now depends on selling more to the same people rather than on finding new ones, and that the customer in question is a small business with a thin budget that the company itself flags as vulnerable to economic uncertainty. They see generative AI as a double-edged change: the same tools that let GoDaddy build a site in one click also let anyone else do it, and lower the perceived value of the website-building products that carry the higher margins. They also point to $3.8 billion of debt against $1.1 billion of cash, and to a business that must keep spending on marketing and on AI to defend a position against Wix, Squarespace, Shopify and cheaper registrars.

Here's Why GoDaddy Stock Is Getting Pummeled Today

GoDaddy Inc. shares experienced a significant downturn today, with the stock being "pummeled" following financial guidance that fell short of investor expectations. In an environment where single-digit growth has become the norm for many mature tech companies, even a slight deviation from optimistic forecasts can trigger adverse reactions. Analysts emphasize the market's heightened sensitivity during periods of moderate growth, making any less-than-stellar projection a catalyst for significant sell-offs. This incident underscores the constant pressure on companies to exceed or at least meet estimates, especially as rapid expansion potential wanes.
