概要
Core & Main is a specialty distributor of water, wastewater, storm drainage and fire protection products and related services in the United States and Canada. It does not manufacture: it buys pipe, valves, fittings, hydrants, water meters, drainage and fire-sprinkler products from manufacturers and resells them, with local inventory, technical advice and fabrication services, through a network of over 370 branches. Its customers are municipalities and private water utilities on one side and professional contractors on the other, working on municipal, non-residential and residential projects. The products are used both to build new water and fire-protection infrastructure and to maintain, repair and replace the existing network. In fiscal 2025 (the year ended 1 February 2026) net sales were $7,647 million and net income $462 million.
収益の仕組み
Revenue is the resale of third-party products at a spread over cost: Core & Main earns a gross margin between what it pays manufacturers and what it charges contractors and municipalities. In fiscal 2025 net sales of $7,647 million produced $2,059 million of gross profit, roughly 27 cents of every sales dollar, and $931 million of Adjusted EBITDA. Sales are largely transactional and quoted job by job rather than contracted in multi-year subscriptions, so revenue moves with construction volumes and with the price of the commodities it distributes; management explicitly tracks 'average daily net sales' because the fiscal calendar can add or drop a selling week. Growth comes from volume, from price on the underlying products, and from buying other distributors: the company closed two acquisitions and opened ten new branches in fiscal 2025.
セグメント別売上高
The core of the catalogue: pipe, valves, hydrants, fittings and related accessories that carry drinking water and sewage underground, sold to municipal water systems and to the contractors that install them.
Corrugated pipe, catch basins, retention systems, geosynthetics and erosion-control products used to manage rainwater on construction sites and in public works.
Water meters and the metering technology around them, including automated and advanced metering infrastructure, sold mainly to municipalities and private water utilities that bill consumption.
Sprinkler pipe, fittings, heads and related fabrication services for fire-suppression systems inside commercial and residential buildings, sold to fire-protection contractors.
競争優位性(moat)
規模の経済 · 狭いThe advantage is density and breadth, not a patent or a brand. With over 370 branches Core & Main can hold local inventory of heavy, bulky, low-value-per-pound items that are expensive to ship far, and a contractor who needs a fitting the same morning will buy from whoever has it two towns away. Scale also buys purchasing power: the top ten suppliers account for about 45% of product expenditures, and the largest single one about 7%, so the company is a meaningful customer to its vendors without depending on any of them. The limits are real, and the company states them itself: its markets are fragmented and competitive, products are largely commoditised, and nothing stops a municipality from bidding a job out to a regional rival. That is why the advantage reads as narrow rather than wide.
需要を左右する要因
中程度の景気循環性Demand splits into two halves that behave differently. Municipal work was 44% of fiscal 2025 net sales: water mains break, meters age out and treatment plants must meet regulation regardless of the economy, and that spending follows public budgets and multi-year appropriations rather than the business cycle. The other 56% — non-residential 38%, residential 18% — is construction demand, which the company itself calls volatile and subject to cyclical pressures and which turns with housing starts, commercial project starts and interest rates. On top of volume sits the price of the commodities distributed: when pipe prices fall, revenue falls even if the same tonnage moves. The blend is a business that bends in a downturn but does not stop, because the repair-and-replacement half keeps working.
主なリスク
- Dependence on cyclical construction markets — The company states that its business is largely dependent on activity in the U.S. residential and non-residential construction markets, which are volatile and subject to cyclical market pressures. Together those two end markets were 56% of fiscal 2025 net sales.
- Municipal budgets and federal appropriations — Many customers draw funding from federal, state and local bodies. Reduced federal funding and corresponding reductions in federal fund appropriations may adversely affect them, and therefore the orders they place.
- Product cost swings in both directions — An increase in product costs not offset by an increase in its own prices, or an inability to hold price levels in an environment of declining product costs, could have a material adverse effect. A distributor is squeezed by falling prices as well as by rising ones.
- Tariffs on imported products — The company flags possible price volatility associated with the implementation or rescission of tariffs or other restrictions placed on foreign imports by the United States.
- Fragmented, competitive markets — The markets in which it operates are described as fragmented and competitive; any failure to compete with national, regional or local competitors could have a material adverse effect on the business.
- Acquisition and integration risk — Growth relies partly on acquiring other distributors, and the filing lists risks involved with acquisitions and other strategic transactions, including integration. Related to this is the risk of impairment of goodwill and other assets carried from past deals.
- Debt, interest rates and credit ratings — Item 1A includes restrictions imposed by the company's indebtedness, exposure to interest rate movements, the effect of changes in its credit ratings and its ability to generate enough cash to service its obligations.
- IT systems and cybersecurity — Failures of information technology systems or cybersecurity incidents could disrupt order processing, inventory management and the collection of accounts receivable, and could create liability under data security laws.
顧客集中度
主要顧客が売上高の12%を占める
Concentration is remarkably low. The 10-K states that the top 50 customers represented approximately 12% of net sales in fiscal 2025 and that the largest single customer accounted for approximately 1%. Revenue is spread across thousands of municipalities and contractors buying job by job, so no single loss is material; the flip side is that the company has little contractual visibility and must win the next order every time. Supplier concentration is the higher of the two: the top ten suppliers were about 45% of product expenditures and the largest about 7%.
強気材料
Buyers argue that American water infrastructure is old and has to be replaced whatever the economy does, and that the municipal half of the business — 44% of fiscal 2025 sales — is the closest thing to recurring demand a construction-linked distributor can have. They point to a fragmented industry in which a company with over 370 branches can keep buying smaller local distributors at prices below its own multiple, a playbook it repeated in fiscal 2025 with two acquisitions and ten new branches. They add that the fastest-growing product lines — fusible high-density polyethylene, treatment plant solutions and geosynthetics — grew average daily sales at double digits and carry more engineering content than plain pipe, and that customer concentration of about 1% for the largest account means no single customer can damage the business.
弱気材料
Sellers fear that this is a commodity distributor with thin differentiation whose earnings depend on two things it does not control: construction volumes and the price of pipe. Fiscal 2025 showed the mechanism — net sales up 2.8% to $7,647 million while Adjusted EBITDA was essentially flat at $931 million, up 0.1%, so growth arrived without operating leverage. The company's own risk factors say it can be squeezed both when product costs rise faster than its prices and when costs fall and it cannot hold price. Its markets are described as fragmented and competitive, which means a local rival can undercut a bid at any time. Municipal demand is not free of risk either: it depends on federal, state and local funding that can be cut. And because growth leans on acquisitions financed with debt, sellers point to the integration risk, the goodwill carried on the balance sheet and the sensitivity to interest rates and credit ratings that the filing itself lists.

Ferguson's Waterworks business is the only other distributor competing with Core & Main on a nationwide basis, selling the same pipe, valves, fittings, hydrants and meters to the same municipalities and underground contractors across the United States.
Fortiline, the waterworks arm of Australia's Reece Group, is the second-largest US distributor of underground water, sewer and storm products and fights Core & Main branch by branch for contractor and municipal accounts in the East and South.
Winsupply's locally owned waterworks and pipe-valve-fitting branches serve the same municipal and site-work contractors, competing on local relationships and same-day availability rather than national scale.
This privately held Alabama-based distributor stocks the same waterworks and fire-protection pipe, valves and fittings and bids against Core & Main on municipal and utility projects across the Southeast.
SiteOne overlaps with Core & Main on irrigation, drainage and erosion-control products sold to landscape and site-development contractors, the adjacent line Core & Main has been buying its way into.
